These Terms and Conditions govern your engagement with Stratovel (referred to as "we", "us", or "our"), a brand and marketing strategy consultancy operating from Kuala Lumpur, Malaysia. 01Definitions
The following terms carry the meanings set out below wherever they appear in this Agreement:
- "Agreement" means these Terms and Conditions together with any engagement letter, proposal, or statement of work accepted by both parties.
- "Service" means the advisory, workshop, or planning service selected by the Client as described in Section 3.
- "Client" or "User" means the individual or business entity that engages Stratovel for a Service.
- "We / Us / Our" refers to Stratovel, registered and operating in Malaysia.
- "Deliverable" means any written document, plan, framework, or summary produced by Stratovel as part of a Service.
- "Confidential Information" means any non-public information shared by either party in connection with the provision of Services.
02Acceptance of Terms
By engaging our Services — whether by signing a proposal, making a payment, or confirming an engagement in writing — you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
- You must be at least 18 years of age and have the legal capacity to enter into a binding agreement.
- If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation to these terms.
- If you do not agree with any part of these terms, you should not proceed with an engagement.
03Service Description
Stratovel provides brand and marketing advisory services to businesses and teams based in Malaysia and internationally. Our current service offerings are:
- Brand Clarity Session (RM 680) — A facilitated workshop covering brand positioning, audience definition, and messaging, resulting in a written positioning summary.
- Marketing Roadmap Engagement (RM 2,600) — A structured multi-week engagement producing a channel plan and quarterly content calendar grounded in your current activity and goals.
- Brand & Marketing Programme (RM 4,400) — A comprehensive engagement covering positioning, messaging, visual direction guidance, and a full marketing plan with team handover.
Service availability is subject to consultant capacity. Stratovel reserves the right to decline or defer an engagement where capacity is constrained, with reasonable notice to the prospective Client.
All Services are advisory in nature. They do not constitute legal, financial, medical, or regulated professional advice. Clients should seek appropriate licensed professionals for matters outside the scope of brand and marketing strategy.
04User Responsibilities
To ensure a productive engagement, Clients agree to the following:
Provision of Information
- Provide accurate, current, and complete information as reasonably requested during the engagement.
- Complete any pre-session briefs or intake materials within the agreed timeframe.
- Make relevant stakeholders available for workshops and review sessions.
Acceptable Use
- Use Deliverables for lawful, legitimate business purposes only.
- Not misrepresent the origin or authorship of Deliverables to third parties.
- Not engage with Stratovel for any purpose that violates applicable Malaysian law or regulation.
Prohibited Activities
- Sharing Deliverables with direct competitors of Stratovel without prior written consent.
- Reverse-engineering, reproducing, or reselling Stratovel's proprietary frameworks or methodologies.
- Providing false information that materially affects the quality or direction of the engagement.
05Intellectual Property
Upon full payment for a Service, Stratovel grants the Client a non-exclusive, non-transferable licence to use the Deliverables produced specifically for that engagement for the Client's own internal business purposes.
- Stratovel retains ownership of all underlying frameworks, methodologies, templates, and processes used in producing Deliverables.
- The Client may not sub-licence, resell, or distribute Deliverables to third parties without Stratovel's written consent.
- Content, copy, or materials supplied by the Client remain the Client's property. By supplying such materials, the Client confirms they hold the right to do so.
- Stratovel may reference the engagement as part of its general experience (e.g. "advised a retail brand on positioning") without disclosing the Client's identity, unless the Client has provided written permission for a named reference.
06Payment Terms
All fees are quoted in Malaysian Ringgit (MYR) and are inclusive of any applicable taxes unless stated otherwise.
Payment Schedule
- A deposit of 50% of the agreed fee is due prior to commencement of any engagement.
- The remaining balance is due upon delivery of the final Deliverable, unless otherwise agreed in writing.
- For multi-phase engagements, payment milestones will be set out in the engagement letter.
Accepted Payment Methods
- Bank transfer to Stratovel's nominated account (details provided on invoice).
- Other methods as agreed between the parties at the time of engagement.
Refunds and Cancellations
- If the Client cancels before work has commenced, the deposit will be refunded in full, less any reasonable administrative costs already incurred.
- Once work has commenced, deposits are non-refundable. Stratovel will deliver all work completed to the point of cancellation.
- If Stratovel is unable to fulfil an engagement for reasons within its control, a pro-rata refund will be provided for work not yet delivered.
- No refund will be made on the basis of dissatisfaction with strategic recommendations, as the value of advisory work is inherently subjective.
Late Payment
Invoices unpaid beyond 30 days from the due date may incur a late payment charge at a reasonable rate, and Stratovel reserves the right to pause or suspend delivery until the account is settled.
07Service Delivery
Stratovel will make reasonable efforts to deliver Services within the timeframes discussed and agreed with the Client. All timelines are estimates and may be affected by:
- Delays in receiving required input or approvals from the Client.
- Changes in scope requested by the Client after commencement.
- Circumstances outside Stratovel's reasonable control.
Scope changes requested after an engagement has commenced will be assessed for feasibility and may require a revised fee proposal. Work will not proceed on an expanded scope until a revised agreement is in place.
Deliverables will be provided in the formats specified in the engagement letter. Stratovel is not responsible for how Deliverables are interpreted or implemented following handover.
08Disclaimers
Stratovel provides advisory and planning services based on our assessment of available information, market context, and professional experience. The following disclaimers apply:
- Services are provided on an "as is" basis to the best of our professional ability. We do not warrant that any particular commercial outcome will follow from our recommendations.
- Brand and marketing strategy involves judgement and context. No advisory relationship can account for every variable that affects a business's performance.
- Stratovel does not provide legal, financial, regulatory, or medical advice. Clients should consult appropriately licensed professionals for such matters.
- Third-party platforms, tools, or channels referenced in our recommendations are subject to their own terms and conditions, which are outside our control.
09Limitation of Liability
To the extent permitted by Malaysian law:
- Stratovel's total liability to the Client under or in connection with any engagement shall not exceed the total fees paid by the Client for that engagement.
- Stratovel shall not be liable for indirect, consequential, or special loss, including loss of revenue, loss of data, or loss of opportunity, whether or not such loss was foreseeable.
- Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Force Majeure
Neither party shall be in breach of this Agreement as a result of any failure or delay caused by circumstances beyond their reasonable control, including but not limited to natural disasters, public health emergencies, or disruption to critical infrastructure. The affected party will provide prompt written notice and make reasonable efforts to resume performance.
10Indemnification
The Client agrees to indemnify and hold harmless Stratovel and its consultants from any claims, damages, costs, or expenses (including reasonable legal fees) arising from:
- The Client's use of Deliverables in a manner not contemplated by this Agreement.
- Inaccurate, incomplete, or misleading information provided by the Client during the engagement.
- Any breach by the Client of these Terms and Conditions.
- Any claim by a third party arising from the Client's business activities.
11Termination
Either party may terminate an engagement by providing written notice. The following terms apply upon termination:
- The Client remains liable for fees relating to work completed up to the date of termination.
- Stratovel will deliver all work completed to the point of termination in a usable format.
- Stratovel may terminate an engagement immediately and without prior notice if the Client acts in breach of these terms, provides materially false information, or engages in conduct that compromises the integrity of the engagement.
Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive the termination of any engagement.
12Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising from an engagement will be handled as follows:
- Informal Resolution: The parties will attempt to resolve any dispute informally through direct communication within 30 days of the issue being raised.
- Mediation: If informal resolution is not achieved, the parties agree to attempt mediation through the Malaysian Mediation Centre or a mutually agreed mediator before pursuing further action.
- Jurisdiction: If mediation is unsuccessful, disputes will be subject to the exclusive jurisdiction of the courts of Malaysia, with Kuala Lumpur as the venue.
13General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter or proposal, constitute the entire agreement between the parties and supersede all prior discussions.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment: The Client may not assign their rights or obligations under this Agreement without Stratovel's prior written consent. Stratovel may assign or subcontract elements of a Service to qualified associates, remaining responsible for the quality of the output.
- Notices: Formal notices should be sent by email to [email protected] or by post to the address below. Notices take effect on the next business day after being sent.
14Changes to These Terms
Stratovel may update these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or operational practices. When we do:
- The updated terms will be published on this page with a revised "Last Updated" date.
- For ongoing engagements, material changes will be communicated directly by email.
- Continued engagement with Stratovel after the effective date of any change constitutes acceptance of the revised terms.
We encourage Clients to review these terms periodically. The current version at the time an engagement commences will apply to that engagement.
